OBIETTIVI FORMATIVI
The course aims to: - provide awareness of the most common organisational business models worldwide, their problems and their evolution; - help to understand the main objectives that the European legislator is pursuing with regard to “business”; - analyse and understand the similarities and differences between the Business Law of the most developed countries; - provide the tools to enable one to navigate in the context of global Business Law.
CONTENUTI (DIPL.SUP.)
The course will focus on “Business Law” from an international perspective, with specific reference to convergence and persistence in Corporate Law and to Corporate Governance and its political economy. Particularly, the evolution of the large enterprise, the medium-small one and the category of public companies will be discussed, also from an empirical perspective.
PREREQUISITI
The course requires knowledge of the basic principles of Business Law.
METODI DIDATTICI
Frontal lessons. During the lessons, practical cases and examples of documents will be discussed with exercises. Additional materials may be distributed to students via the Moodle platform.
MODALITÀ DI VERIFICA DELL'APPRENDIMENTO
Oral examination: for all students, without distinction, the examination will be oral. The oral examination consists of two/three questions, which tend to be wide-ranging and non-mnemonic, plus any additional specific questions where it seems necessary to better assess the candidate. It is also essential to demonstrate knowledge of the conceptual categories of private law presupposed by business law.
PROGRAMMA ESTESO
Topics: - convergence and persistence in Corporate Law and Governance; - the board of directors and the shareholders' meeting; - the corporate controls; - institutional investors in Corporate Governance - shareholder activism, engagement, empowerment, long-termism; - majority control and minority protection; - comparative Corporate Governance in closely held corporations and in public companies; - governance by institutional investors in a stakeholder world; - with specific reference to the value of sustainability; - the role of technological tools in Business Law: the so-called “CorpTech” instruments.
